These Terms of Use (“Terms”) govern your access to and use of the website, content, tools, communications, and related services made available by Herriot Financial, LLC, a California limited liability company and registered investment adviser (“Herriot Financial,” “we,” “us,” or “our”), at herriotfinancial.com and related landing pages, registration pages, and email communications (collectively, the “Site”). By accessing or using the Site, you agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference. If you do not agree, you may not use the Site.
These Terms govern only your use of the Site. The advisory relationship between Herriot Financial and its clients is governed exclusively by a separate written Investment Advisory Agreement, and nothing on the Site modifies or supplements that agreement.
ELIGIBILITY
The Site is intended for adults only. You must be at least 18 years old to use the Site. By using the Site, you represent and warrant that you meet this requirement.

No Advisory Relationship Without a Signed Agreement
Visiting the Site, contacting us, scheduling a screening call, joining a waitlist, using the calculator, or subscribing to our communications does not create an investment advisory, fiduciary, or client relationship between you and Herriot Financial. An advisory relationship is established only upon the execution of a written Investment Advisory Agreement between you and Herriot Financial, and only after we have determined that we are able to accept you as a client.
Registration and Jurisdictional Limitations
Herriot Financial is registered as an investment adviser in the State of California. Herriot Financial transacts business in states in which it is properly registered or is excluded or exempted from registration requirements. Nothing on the Site constitutes an offer to provide advisory services in any state in which Herriot Financial is not registered or otherwise authorized to do business.
You may verify the registration and regulatory history of Herriot Financial and its advisory representatives through the SEC’s Investment Adviser Public Disclosure database at adviserinfo.sec.gov or by contacting the appropriate state securities regulator.

The Time Freedom Calculator
The Time Freedom Calculator is a free educational tool that performs general mathematical projections based on inputs you provide. Users may optionally provide an email address to save their calculations, but the calculator does not collect or store identifiable investment account information. The calculator does not constitute personalized financial planning or investment advice, and it does not account for your individual tax situation, risk tolerance, time horizon, or other factors a qualified adviser would consider. Outputs are illustrative only and should not be relied upon as a basis for any financial decision.
Book Endorsements and Third-Party Statements
Endorsements, blurbs, reviews, and similar third-party statements about the book Time Freedom that appear on the Site relate to the book as a published work. They are not testimonials about Herriot Financial’s investment advisory services, do not reflect the experience of any advisory client, and are not an indication of future performance or satisfaction with advisory services. The individuals quoted are not clients of Herriot Financial and were not compensated for their endorsements unless otherwise disclosed.
LICENSE AND PERMITTED USE
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for your personal, non-commercial use only, subject to these Terms. You may not (A) copy, reproduce, distribute, sell, license, or exploit any part of the Site or its content; (B) use the Site for commercial purposes without our express written permission; (C) share or redistribute any gated or paid content; (D) remove or alter proprietary notices; or (E) misrepresent the source or ownership of the Site or its content.
INTELLECTUAL PROPERTY
All content included on the Site, including written content, text, graphics, the Time Freedom Calculator, book excerpts, podcast episodes, frameworks, methodologies, branding, logos, and the Herriot Financial name, is owned by or licensed to Herriot Financial or its affiliates and is protected by copyright, trademark, and other intellectual property laws. The book Time Freedom and related materials may be owned or licensed to a separate entity and are subject to additional rights. All rights not expressly granted are reserved.
WORKSHOP WAITLIST AND OTHER SIGNUPS
The Live Investing Workshop waitlist, mailing list, bonus chapter download, and similar signup mechanisms are provided as a convenience. Joining a waitlist or list does not guarantee admission to any workshop, eligibility to become a client, or any other benefit. We may modify, postpone, or cancel any workshop or program at our discretion.
USER CONTENT AND FEEDBACK
You may submit comments, feedback, questions, or other content (“User Content”) through the Site. By submitting User Content, you grant Herriot Financial a perpetual, irrevocable, royalty-free, worldwide license to use, reproduce, modify, publish, distribute, and display such content for lawful business purposes. You represent that you have the right to submit such content and that it does not infringe on any third-party rights. Do not submit nonpublic personal or financial information through general website channels; sensitive client information should be transmitted only through secure channels established with us.
PROHIBITED CONDUCT
You agree not to (A) use scraping, crawling, data mining, bots, AI training, or automation tools to access the Site without our prior written permission; (B) reverse engineer or create derivative works from the Site or the Time Freedom Calculator; (C) interfere with or disrupt the Site or its security; (D) impersonate any person or misrepresent your affiliation with any person or entity; or (E) engage in unlawful, harmful, or deceptive conduct.
THIRD-PARTY LINKS AND SERVICES
The Site may link to third-party websites and services, including book retailers, the Time Freedom Calculator (timefreedomcalculator.com), the Time Freedom Podcast and its hosting platforms, custodians, and other resources. These third parties are independent of Herriot Financial. We do not control them, do not endorse any specific product or service offered through them, and are not responsible for their content, availability, accuracy, or privacy practices. Your use of any third-party service is governed by that service’s terms.
AVAILABILITY AND MODIFICATIONS
We may modify, suspend, or discontinue the Site or any part of it at any time, with or without notice. We are not liable for any modification, suspension, or discontinuation.
NO WARRANTIES
The Site is provided “as is” and “as available.” We make no warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, currency, completeness, or uninterrupted availability. Information on the Site may become outdated, and we have no obligation to update it. Your use of the Site is at your own risk.
LIMITATION OF LIABILITY
To the maximum extent permitted by law, Herriot Financial shall not be liable for any indirect, incidental, consequential, punitive, or special damages, including any losses arising from reliance on Site content or calculator outputs. Herriot Financial’s total liability to you arising out of or related to your use of the Site shall not exceed one thousand U.S. dollars ($1,000). Some jurisdictions do not allow certain limitations. If applicable, these limitations apply to the fullest extent permitted. Nothing in these Terms limits any obligations Herriot Financial owes to its clients under a separate Investment Advisory Agreement or under applicable federal and state securities laws and fiduciary duty.
INDEMNIFICATION
You agree to indemnify and hold harmless Herriot Financial, its officers, contractors, and agents from any claims, damages, losses, or expenses arising out of your use of the Site or violation of these Terms.
DISPUTE RESOLUTION
(A) Informal Resolution. Before initiating any formal proceeding, you agree to contact us at brian@herriotfinancial.com with a written description of the dispute, and we will attempt to resolve the issue informally.
(B) Mediation. If the dispute is not resolved, the parties agree to attempt mediation in California before proceeding further.
(C) Arbitration. If mediation fails, the dispute shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) in California, under its applicable rules.
(D) Class Action and Jury Waiver. You waive the right to a jury trial and agree that disputes may be brought only on an individual basis. You waive the right to participate in any class, collective, or representative action.
This arbitration provision governs disputes about your use of the Site. Disputes between Herriot Financial and its advisory clients arising out of the Investment Advisory Agreement are governed by the dispute resolution provisions of that Agreement, which control to the extent of any conflict.
GOVERNING LAW
These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles.
GENERAL PROVISIONS
(A) Independent Parties. Nothing in these Terms creates an employment, partnership, or agency relationship.
(B) Severability. If any provision is held unenforceable, it will be modified only to the extent necessary to make it enforceable.
(C) Assignment. You may not assign these Terms without our written consent.
(D) Entire Agreement. These Terms and the Privacy Policy constitute the entire agreement between you and Herriot Financial regarding your use of the Site. Advisory client relationships are separately governed by the Investment Advisory Agreement.
(E) Waiver. Failure to enforce any provision is not a waiver of that provision.
